ZYNC Terms of Service and End User License Agreement
PLEASE READ THESE TERMS CAREFULLY. SECTION 14 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. SECTION 4 CONTAINS IMPORTANT SAFETY TERMS, INCLUDING A PHOTOSENSITIVITY WARNING.
These Terms of Service and End User License Agreement (the "Terms") are a binding agreement between you and Zync Inc., a Delaware corporation ("Zync," "we," "us"), and govern your access to and use of: (a) the ZYNC GLOW application for iOS devices (the "GLOW iOS App"); (b) Zync's consumer applications distributed through consumer or automotive application stores for use on in-vehicle display systems, including the ZYNC GLOW in-vehicle application (each, a "Vehicle Application"); and (c) related content and services (collectively, the "Services"). By tapping "I Agree," creating an account, or using the Services, you accept these Terms. If you do not agree, do not use the Services.
1. Eligibility and Account
1.1 You must be old enough to form a binding contract in your jurisdiction, or use the Services under the supervision of a parent or legal guardian who agrees to these Terms on your behalf. The Services are not directed to children under thirteen (13).
1.2 The GLOW iOS App uses Sign in with Apple. You are responsible for the security of your device and credentials and for activity under your account. Information you provide must be accurate.
2. License
2.1 Subject to these Terms, Zync grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Services, in object code form only, on devices you own or control (and, for Vehicle Applications, on in-vehicle systems in vehicles you own, lease, or lawfully use), for personal, non-commercial purposes.
2.2 For copies of a Vehicle Application obtained through an automotive platform during its availability, your license to use that installed copy continues in accordance with the distribution platform's terms notwithstanding later removal of the application from the platform.
2.3 The Services are licensed, not sold. Zync and its licensors retain all right, title, and interest in the Services, including all Intellectual Property Rights. No rights are granted except as expressly stated.
3. Privacy
Our collection and use of information in connection with the Services is described in the ZYNC Privacy Policy at www.zync.com/privacy. The Privacy Policy is a notice, not a contract term, and may be updated as described there.
4. Safety; Intended Use; Photosensitivity Warning
4.1 The Services are visual experiences. They are not intended for use by a driver while a vehicle is in motion. Where the vehicle platform supports it, Vehicle Applications restrict functionality while the vehicle is in motion. You agree to use the Services only where and when it is safe and lawful to do so, to comply with all traffic and safety laws, and to keep your attention on driving whenever you operate a vehicle.
4.2 PHOTOSENSITIVITY WARNING: A small percentage of people may experience seizures or other symptoms when exposed to certain light patterns or flashing effects. If you or anyone viewing the experience has a history of photosensitive epilepsy or similar conditions, consult a physician before use, and stop use immediately if symptoms occur (such as dizziness, altered vision, or involuntary movements). The Services are designed to limit flash rates, but individual sensitivity varies.
4.3 The Services provide aesthetic and entertainment content only. They are not a safety device, medical device, therapeutic product, or driver-assistance system, and no content within the Services is advice of any kind.
4.4 You acknowledge that use of visual experiences in and around vehicles involves inherent risks if used contrary to these Terms, and you agree to follow the safety terms in this Section 4 and all in-product safety instructions.
5. Acceptable Use
You will not, and will not permit others to: (a) copy, modify, distribute, sell, lease, or sublicense the Services; (b) reverse engineer, decompile, or disassemble the Services or attempt to derive source code, except to the extent this restriction is prohibited by applicable law; (c) circumvent or disable any technical or safety measure in the Services, including motion-based restrictions; (d) use the Services to violate any law or any third-party right; (e) interfere with or disrupt the Services, or the systems of Zync, any platform, vehicle manufacturer, or third party; or (f) use the Services in connection with any commercial exploitation without Zync's prior written consent.
6. Feedback
You have no obligation to provide feedback. If you provide feedback, suggestions, or ideas about the Services, you grant Zync a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use them for any purpose without obligation or attribution.
7. Third-Party Services and Platforms
The Services interoperate with third-party services (including Apple's Sign in with Apple and WeatherKit) and are distributed through third-party platforms (including the Apple App Store and automotive application stores). Third-party services and platforms are governed by their own terms, and Zync is not responsible for them. Vehicle systems, displays, and any data the vehicle itself collects are the responsibility of the vehicle manufacturer and its suppliers under their own terms and policies.
8. Apple-Specific Terms (GLOW iOS App)
For the GLOW iOS App: (a) these Terms are between you and Zync only, not with Apple Inc. ("Apple"), and Apple is not responsible for the app or its content; (b) your license is limited to use on Apple-branded products that you own or control, as permitted by the App Store Terms of Service (except that the app may be accessed by other accounts via Family Sharing or volume purchasing where applicable); (c) Apple has no obligation to furnish maintenance or support for the app; (d) in the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app; (e) Apple is not responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection or similar claims; (f) in the case of a third-party claim that the app or your use of it infringes intellectual property rights, Zync, not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim to the extent required by these Terms; (g) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties; and (h) Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the GLOW iOS App and may enforce them against you.
9. Updates and Changes to the Services
Zync may provide updates, may require updates as a condition of continued use, and may modify, suspend, or discontinue all or part of the Services at any time. Zync has no obligation to provide maintenance, support, updates, or any particular content or feature, and makes no commitment that the Services will remain available in any market or on any platform.
10. Term; Suspension; Termination
10.1 These Terms apply from your first acceptance until terminated. You may stop using the Services and delete your account at any time. Zync may suspend or terminate your access (including your account) if you breach these Terms, where required by law or a platform, or upon discontinuation of the Services.
10.2 Sections 2.2, 2.3, 4, 6, 7, 8, and 11 through 16 survive termination.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ZYNC DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ANY DEVICE, VEHICLE, OR PLATFORM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE, DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED.
12. Limitation of Liability
12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) FIFTY U.S. DOLLARS (US$50) AND (B) THE AMOUNTS YOU PAID ZYNC FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
12.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including, where applicable, liability for death or personal injury caused by negligence, or for fraud. Consumers in jurisdictions with non-waivable statutory rights retain those rights.
13. Indemnification
You will indemnify and hold harmless Zync and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of law, or your misuse of the Services, except to the extent caused by Zync's own breach or misconduct.
14. Governing Law; Dispute Resolution; Arbitration
14.A Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except that: (a) Section 14.B (Arbitration Agreement) is governed by and enforceable under the Federal Arbitration Act, 9 U.S.C. §1 et seq.; and (b) where the mandatory consumer-protection law of your jurisdiction of residence applies notwithstanding this clause, nothing in these Terms deprives you of its protection.
14.B Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND ZYNC TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, AND WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. YOU MAY OPT OUT AS DESCRIBED IN SECTION 14.B.8.
14.B.1 Scope. You and Zync agree to arbitrate all disputes, claims, and controversies arising out of or relating to these Terms, the Services, or your use of them, including claims based in contract, tort (including personal injury), statute, fraud, misrepresentation, or any other legal theory, and including disputes about the scope or enforceability of this Arbitration Agreement (which are delegated to the arbitrator, except as stated in 14.B.9), whether the claim arose before, on, or after the date you agreed to these Terms.
14.B.2 Carve-outs. Either party may: (a) bring an individual claim in small-claims court in the county where you reside (or Manatee County, Florida for Zync); (b) seek injunctive or other equitable relief in court to protect intellectual property rights; and (c) where applicable law confers a non-waivable right to seek public injunctive relief, request such relief in court following arbitration of all arbitrable claims.
14.B.3 Informal resolution first (mandatory). Before commencing arbitration, the claiming party must send an individualized written notice of dispute to Zync Inc., Attn: Legal, 595 Pacific Avenue, 4th Floor, San Francisco, CA 94133 or legal@zync.com (for Zync: to your account email) describing the claim and requested relief, signed personally by the claimant, and participate in one individualized telephone or video settlement conference if requested within sixty (60) days. Compliance with this section is a condition precedent to arbitration; a court in Manatee County, Florida may enjoin arbitration commenced without compliance, and the limitations period is tolled during the process.
14.B.4 Rules and forum. Arbitration is administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if the AAA is unavailable, a comparable administrator agreed by the parties or appointed by a court of competent jurisdiction). One arbitrator. The arbitration shall be conducted, at your election, by videoconference, by written submissions, or in person in the county where you reside. Zync pays all AAA filing, administration, and arbitrator fees beyond a filing fee equal to the then-current fee to file in the small-claims court of your county of residence, except as provided in 14.B.6, and except that the arbitrator may reallocate fees on a finding that a claim was frivolous or brought for an improper purpose.
14.B.5 Class action and representative waiver. ALL PROCEEDINGS UNDER THESE TERMS ARE INDIVIDUAL. NEITHER YOU NOR ZYNC MAY BRING, JOIN, OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. Relief may be awarded only in favor of, and to the extent necessary to resolve, the individual claim.
14.B.6 Coordinated (mass) filings protocol. If twenty-five (25) or more demands for arbitration are filed against Zync raising similar claims and with the same or coordinated counsel: (a) the AAA's applicable mass-filing procedures and fee schedule apply; (b) counsel shall meet and confer with Zync to select ten (10) bellwether arbitrations (five per side) to proceed first, with all other demands stayed and their fees not yet due; (c) following final awards in the bellwethers, the parties shall participate in a global mediation informed by the outcomes; (d) thereafter, remaining demands proceed in batches of one hundred (100), staged sequentially; and (e) a court in Manatee County, Florida may enforce this protocol, and the limitations period is tolled for stayed demands.
14.B.7 Awards; confidentiality; fees. The arbitrator's award is final and binding and may be entered in any court of competent jurisdiction. The arbitrator may award any relief available under applicable law on an individual basis, including attorneys' fees where a statute provides them. Arbitration filings and awards are confidential to the extent permitted by law, except as needed to enforce the award.
14.B.8 Thirty-day opt-out. You may reject this Arbitration Agreement, without penalty and while keeping every other part of these Terms, by emailing legal@zync.com (subject "Arbitration Opt-Out") or writing to Zync Inc., Attn: Legal, 595 Pacific Avenue, 4th Floor, San Francisco, CA 94133 within thirty (30) days of first accepting these Terms, stating your name and the account email (or, for a Vehicle Application with no account, a description of the vehicle and application). Opt-out applies only to the individual opting out.
14.B.9 Severability; blow-up clause. If any portion of this Arbitration Agreement other than 14.B.5 is found unenforceable, it shall be severed and the remainder enforced. IF 14.B.5 (THE CLASS AND REPRESENTATIVE WAIVER) IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THEN THIS ENTIRE ARBITRATION AGREEMENT SHALL BE NULL AND VOID AS TO THAT CLAIM, which shall proceed exclusively in the courts specified in Section 14.C.
14.B.10 Survival. This Arbitration Agreement survives termination of these Terms, deletion of your account, and cessation of your use of the Services.
14.C Venue for Non-Arbitrated Claims
Any dispute not subject to arbitration (including claims by opt-outs, carve-out claims other than small-claims matters, and claims held non-arbitrable) shall be brought exclusively in the state courts located in Manatee County, Florida, or the United States District Court for the Middle District of Florida (Tampa Division), and the parties consent to personal jurisdiction and waive objections to venue there, except that nothing in this section limits a consumer's non-waivable right under applicable law to bring or defend a claim in the courts of their own jurisdiction. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY IN ANY SUCH PROCEEDING.
14.D EU/UK and Other Non-U.S. Consumers
If you are a consumer habitually resident in the European Union, the European Economic Area, or the United Kingdom: (a) Sections 14.A through 14.C do not bind you to arbitration or to Florida courts; (b) you benefit from the mandatory consumer-protection provisions of, and may bring proceedings in, the courts of your country of residence; and (c) these Terms are otherwise governed by Florida law to the extent your local mandatory law does not provide otherwise. The unenforceability of any provision as applied to non-U.S. consumers shall not affect its enforceability as applied to any other user.
15. Changes to These Terms
Zync may update these Terms. Material changes will be presented for renewed acceptance in the applicable Service before they apply to you; other changes are effective on posting with an updated date. Changes to Section 14 (arbitration) apply only after renewed acceptance or your continued use following conspicuous notice, and any dispute arising before a change is governed by the version in effect when the dispute arose.
16. General
16.1 These Terms (including documents expressly incorporated) are the entire agreement between you and Zync regarding the Services and supersede prior agreements on that subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will remain in effect.
16.2 You may not assign these Terms. Zync may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
16.3 Zync's failure to enforce a provision is not a waiver. Section headings are for convenience only. Zync is not liable for delay or failure caused by events beyond its reasonable control.
16.4 You will comply with all applicable export control and sanctions laws in connection with the Services.
